These Terms & Conditions (“Terms”) govern access to and use of the TrafficClan performance-marketing and affiliate network, including our website, publisher and advertiser platforms, and related services (the “Services”). The Services are operated by Trafficclan LLC, a Delaware limited liability company (“TrafficClan”, “we”, “us”).

By creating an account, accessing an offer, or otherwise using the Services, you (“Partner”, “you”) agree to these Terms. If you do not agree, do not use the Services.

1.Agreement to terms

These Terms form a binding agreement between you and TrafficClan. Additional campaign-specific terms, insertion orders (IOs) or offer briefs may apply and, in case of conflict for that campaign, control over these Terms to the extent of the conflict.

2.Definitions

• Publisher / Affiliate: a Partner that promotes offers and sends traffic.
• Advertiser: a Partner that supplies offers and pays for qualified results.
• Offer: a campaign made available on the network on a PPC, CPL, CPS or CPI basis.
• Conversion: a billable, qualified action (a qualified call, consented lead, confirmed sale or verified install) as defined in the applicable Offer.

3.Eligibility

You represent that you are at least 18 years old, have authority to enter these Terms on behalf of yourself or your organization, and will use the Services only for lawful business purposes. We may approve, decline or suspend any account at our discretion.

4.Accounts & registration

You must provide accurate, complete information and keep it current, including valid tax and payment details. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly of any unauthorized use.

5.Publisher obligations

• Only send traffic from approved, disclosed sources and methods.
• Use approved creatives, landing pages and claims; no misleading, deceptive or unauthorized branding.
• Obtain and retain valid, documented consent for every lead and call, and honor caps, geo, and time-of-day restrictions.
• No incentivized, bot, co-registration-spam, or fraudulently generated traffic; no cookie stuffing, forced clicks, or trademark bidding where prohibited.
• Comply with all applicable laws, including the TCPA, CAN-SPAM, Do-Not-Call rules and vertical-specific requirements.

6.Advertiser obligations

• Provide accurate offers, buyer criteria, caps and disclosures, and lawful landing pages.
• Apply reasonable, documented and consistent return / rejection criteria; rejections must be for legitimate quality or compliance reasons.
• Pay for qualified Conversions on the agreed terms.
• Use consumer data only for the purpose consented to and in compliance with applicable law.

7.Payments, payouts & taxes

• Publisher payouts are calculated on validated Conversions per the applicable Offer, on the agreed schedule, subject to a minimum payment threshold where stated.
• We may withhold, adjust, delay or claw back payments for traffic later found to be fraudulent, duplicated, reversed, charged back, or non-compliant.
• Advertisers are invoiced per their IO; late amounts may accrue interest and suspend campaigns.
• Each Partner is responsible for its own taxes and must provide required tax forms (e.g. W-9 / W-8). Payments may be withheld until valid tax documentation is received.

8.Prohibited conduct & compliance

You will not: violate any law or third-party right; misrepresent offers or consent; generate fraudulent or artificial activity; interfere with tracking; scrape, resell or co-mingle traffic or data without authorization; or attempt to circumvent the network to transact directly in a way that avoids fees. We may investigate suspected violations and pause sources or accounts during review.

9.Intellectual property

The Services, our brand, and our content are owned by TrafficClan or our licensors and are protected by law. We grant you a limited, non-exclusive, revocable license to use the Services and approved creatives solely to participate in campaigns. Advertiser marks may be used only as expressly authorized in an Offer.

10.Confidentiality

Non-public information shared through the Services — including offers, payouts, buyer criteria and reporting — is confidential and may be used only to perform under these Terms. This obligation survives termination.

11.Term & termination

These Terms apply while you use the Services. Either party may terminate an account at any time. We may suspend or terminate access immediately for suspected fraud, non-payment, or breach. On termination, unpaid amounts for validated, compliant Conversions remain payable, subject to fraud and clawback review; withheld amounts tied to violations may be forfeited.

12.Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee any specific volume, availability of offers, earnings, approval rates or results.

13.Limitation of liability

To the maximum extent permitted by law, TrafficClan will not be liable for indirect, incidental, special, consequential or punitive damages, or lost profits or revenue. Our total liability arising out of or relating to the Services will not exceed the amounts paid or payable to or by you through the network in the three (3) months preceding the event giving rise to the claim.

14.Indemnification

You will indemnify and hold harmless TrafficClan and its affiliates, officers and employees from claims, damages, liabilities and expenses (including reasonable legal fees) arising from your traffic, creatives, offers, data handling, breach of these Terms, or violation of law or third-party rights.

15.Governing law & disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules. The parties will attempt to resolve disputes in good faith; unresolved disputes will be submitted to binding arbitration or the state or federal courts located in Dover, Delaware, as specified in your account agreement, and you agree to that jurisdiction and venue. To the extent permitted by law, disputes will be resolved on an individual basis and not as a class action.

16.Changes to these terms

We may update these Terms from time to time. We will post the revised version with a new “Last updated” date, and material changes may be notified to account holders. Continued use after changes means you accept the updated Terms.

17.General

These Terms, together with any applicable IO and our Privacy Policy and Compliance standards, are the entire agreement between the parties. If any provision is unenforceable, the rest remains in effect. We may assign these Terms; you may not without our consent. Our failure to enforce a provision is not a waiver. Neither party is liable for delays caused by events beyond reasonable control.
